Barilla Corporate Affairs Manager in Amsterdam, Netherlands

Job purpose The person will manage the corporate affairs for the international Group legal entities (with the exception of Italian legal entities). S/he will handle the corporate affairs processes mainly related to financial statements approval, resolutions of company’s board and shareholders meetings, granting of delegation of powers, requests of authorizations, licenses and registrations. S/he will also focus on all the related matters required by the law, assuring that the corporate governance for the legal entities in scope is correctly implemented by providing legal advice and interpretations, handling relations with lawyers, consultants and other external bodies, ensuring corporate affairs policies compliance, overseeing and/or drafting relevant documentation.

Accountabilities

  • Supervise corporate processes international affairs (with the exception of Italian legal entities) and be involved in the management of all related legal corporate matters

  • Support the Head of the Unit in the management of Barilla B.V. International corporate affairs and act as the point of contact for its internal/external stakeholders with reference to legal corporate matters

  • Support the Head of the Unit in ensuring that the Board members of all group companies receive legal advice on risks and opportunities concerning corporate legal issues and provide the relevant information required by the activities of the company;

  • Revise, update, monitor the delegation of powers in line with organizational structure, guidelines and specific law requirements;

  • Handle relations with external lawyers/consultants/bodies and internal colleagues with reference to the preparation and formalization of documents

  • Manage the communication of decisions and follow up actions towards the internal and/or external stakeholders at different organization’s level

  • Provide legal regulations’ interpretations

  • Ensure corporate compliance processes and externally demanded corporate assessments are carried out in a timely manner by coordinating all the relevant actors (internal and/or external) involved in any specific processes.

  • Provide support with required fulfilments in the legal and compliance area regarding Corporate Affairs topics;

  • Prepare and/or coordinate the documentation to be provided for Boards and shareholders’ meetings for the companies in scope;

  • Revise intragroup agreements;

  • Support the decision-making processes of corporate governing bodies by dealing with all the relevant internal stakeholders;

  • Guarantee a proper maintenance and constant update of the internal repository.

    Requirements

  • Master’s Degree in Law

  • 5+ years’ international experience in corporate law department (in house and/or firm)

  • Solid international mindset, intercultural understanding and sensitiveness, developed by working in international contexts, consultancy firms and/or large multinational companies

  • Knowledge of corporate contracts, secretarial and compliance activities

  • Ability to communicate effectively and precisely

  • Must be able to handle confidential and sensitive information

  • Ability to work autonomously in a fast-paced environment

  • Excellent communication, networking and interpersonal skills

  • Proven stakeholder management ability and great attitude to deal with complexity and strict timeline/deadlines.

  • Reliability and proactivity. Accurate, accountable and cooperative

  • Excellent command of English, both oral and written
