Description

Role: Corporate Paralegal

Location: Mostly remote with some travel to Tennessee 1-2 times per month

Compensation: $70-90k +B - DOE

Our client is seeking a dedicated and experienced Corporate Paralegal to join their team due to the growth of the business. The ideal candidate will already have experience in a corporate paralegal setting. The candidate will play a pivotal role in independently managing the legal entity portfolio, assisting with entity formation, and supporting M& A activities. This position also involves preparing board and committee materials, managing relationships with outside counsel, and coordinating project deadlines.

Responsibilities:

  • Prepare correspondence, reports, and other legal documents

  • Independently manage the legal entity portfolio, including relevant statutory filings

  • Assist with entity formation by drafting and filing incorporation documents, checking and reserving corporate names, and preparing drafts of corporate organizational documents

  • Support M& A activities by coordinating due diligence reviews, preparing supporting documentation, and helping with data room set up and administration

  • Prepare board and committee materials

  • Manage relationships with outside counsel, including maintaining contact lists, interacting with counsel and their offices, budgeting, accruals, and invoice management

  • Manage project deadlines, files, and records

  • Assist with the preparation of documents

  • Coordinate execution and notarization of documents

  • Maintain files of correspondence and legal documents

Requirements

Bachelor's degree in Paralegal Studies, Legal Studies, or a related field

Paralegal certification from an ABA-approved program

Minimum of 3-5 years of experience as a corporate paralegal, preferably in a corporate legal department

Strong knowledge of corporate governance, entity formation, and M& A processes

Excellent organizational and multitasking skills, with a keen attention to detail

Proficient in legal research and legal database management

Strong written and verbal communication skills

Ability to work independently and as part of a team

Proficiency in Microsoft Office Suite and legal software

High level of professionalism and confidentiality
