Overview of Job Function:

The Assistant General Counsel, Procurement Contracts and Regulatory Compliance position will manage the procurement contracts team (consisting of two direct reports) supporting Verint’s Procurement team and procurement activities on a global basis, as well as being responsible for Verint’s regulatory compliance applicable to product related telephony services. The position requires excellent interpersonal skills and ability to manage people and initiatives, maintaining a deep understanding of all aspects of the Verint business (procurement activities, revenue generating activities, operations, and strategic objectives), and the ability to drive and manage complex initiatives. The individual must be expert on all aspects of contract negotiations, supporting the setting and execution of strategy, effectuating protections for Verint to align with risk management objectives.

This also position requires strong buy-side goods and services contract negotiation experience, superior contract drafting skills, analytical skills and creative solutioning, and business and financial acumen. The individual must be able to successfully operate in the middle of many different departments and disparate activities, can appropriately prioritize, and manage the priorities of the Procurement Contracts team based on a multitude of objectives, and ensure the operations of the team keeps stakeholders informed and appropriately tasked and engaged. The individual must be execution oriented, possess an ambition and passion for excellence, and the know-how for achieving the desired contractual outcomes.

Principal Duties and Essential Responsibilities:

  • Manage, coach, lead and develop the Procurement Contracts team.

  • Responsible for maturing the team to create proficiencies in negotiating a broad range of buy-side contracts.

  • Identify areas for improvement in existing strategy for Verint’s procurement contracting processes and develop and implement process refinement to streamline how we achieve desired results.

  • Manage Verint’s procurement form agreements and mature the library of forms as Verint’s requirements change.

  • Negotiate and draft complex contractual arrangements in alignment with Verint’s legal, compliance, internal operations, and sell-side contract requirements.

  • Identify and analyze legal issues and provide strategic advice to business stakeholders on ways to mitigate business and legal risk associated with complex vendor contractual arrangements, including with respect to telephony service based offerings.

  • Maintain clear understanding of business requirements and ensure business terms and vendor obligations are achieved by the Procurement Contracts team.

  • Facilitate the challenging of assumptions and interrogation of opportunities to ensure business terms are fully understood and defined, all with a facilitative approach.

  • Provide post-negotiation vendor contract analysis and interpretation in conjunction with business activities and vendor dispute management.

  • Manage contract integration activities for acquired companies as it relates to vendor remediation, renegotiation, and consolidation efforts.

  • Accountable for Procurement Contracts team’s participation in complex projects as assigned.

  • First point of escalation for resolution of vendor contract related issues.

  • Cost effective and efficient management of outside counsel.

  • Effectively mentor team members.

Minimum Requirements:

  • JD from ABA accredited program (top tiered school preferred) with current license to practice law in their local State jurisdiction.

  • 12+ years relevant practice experience coupled with 8+ years of people management experience.

  • Extensive experience working in or representing companies focused on commercial sector technology offerings.

  • Extensive legal contract drafting experience with new business models into contract form and negotiation experience for technology related offerings, including technologies for internal business use, resell, and including software, hardware, SaaS, telecommunications, consulting, and other services.

  • Experience working with Procurement and supporting business activities and objectives and providing related legal analysis and practical advice.

  • Excellent verbal and written communication skills.

  • Deep understanding of intellectual property concepts, market positions on liability and risk; expertise on domestic and international telecom and SMS regulatory regimes; general understanding of privacy laws and regulations.

  • Ability to work independently and manage individuals and initiatives, in high-stress situations, and prioritize workloads of the team. Self-driven, team oriented, with experience working well in a collaborative environment.

  • This is a US based remote role with a preference to the candidate based in the East coast, Atlanta, GA or Melville, NY.

  • Minimal domestic/international travel may be required for meetings.

  • Successful completion of a background screening process including, but not limited to, employment verifications, criminal search, OFAC, SS Verification, as well as credit and drug screening, where applicable and in accordance with federal and local regulations.

Preferred Requirements:

  • International transactional experience.

  • Dispute resolution experience.

  • Solid working knowledge of federal, state and global privacy laws and regulations, including CCPA, HIPAA and UK GDPR.
