GENERAL FUNCTION:

Manage attorneys, paralegal and support staff in assigned function(s) of Legal Department. Represent Fifth Third Bancorp and affiliates in all assigned areas of law. Manage outside counsel representation. Act as the primary legal resource for assigned lines of business and/or divisions.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Identify and analyze legal issues and provide appropriate legal guidance and counsel to Senior Management and functional areas of the Bancorp.

  • Provide guidance to the appropriate Executive Vice Presidents on Bancorp policies, patterns and practices, and global issues by working within the banks legal risk appetite.

  • Create policies and procedures where necessary.

  • Manage Litigation to reduce risk to the Bancorp.

  • Coordinate the corporate family of banks and non-bank subsidiaries.

  • Represents the Bank with government agencies regarding all assigned areas of law.

  • Act as a decision maker on complex issues and provide overall guidance to assigned areas.

  • Analyze new business concepts and provide legal guidance related to these concepts.

  • Manages department employees.

  • Manages the staffing, performance plans and salary administration for the department in the areas related to General Function.

  • Allocates and reviews work, provides training, works with staff to set and achieve objectives, and guides and advises subordinates for individual development.

  • Motivates the employees in the area through decisions regarding pay, placement, and promotions.

  • Measures the department's employees by establishing performance standards and comparing actual performance against those standards.

  • Proactive surveillance of regulatory changes to the environment.

  • Interpretation of regulatory changes identified.

  • Ongoing guidance of the interpretation for regulatory requirements and impacted changes.

SUPERVISORY RESPONSIBILITIES:

Responsible for providing employees timely, candid and constructive performance feedback. Develops employees to their fullest potential and provide challenging opportunities that enhance employee career growth. Develops the appropriate talent pool to ensure adequate bench strength and succession planning. Recognizes and rewards employees for accomplishments.

MINIMUM KNOWLEDGE, SKILLS AND ABILITIES REQUIRED:

  • Minimum 15 years experience preferred.

  • J.D. required.

  • Admission to a state bar.

  • Experience supporting a Payments LOB strongly preferred.

  • Excellent interpersonal, negotiation, verbal and written communication and presentation skills.

  • Problem resolution and analytical skills and the ability to interact well with all organizational levels.
