As a partner-track associate attorney in the corporate group supporting more senior attorneys, Research SEC no-action letters, releases, enforcement actions, interpretive guidance, precedent SEC filings, corporate governance practices; state "blue sky" laws for securities offerings. Draft Registration Statements that require moderate revision by supervising lawyer. Draft client Proxy Statements for regular shareholder meetings. Draft Director and Officer Questionnaires for proxy statements and other SEC filings. Draft Section 16 filings. Draft state "blue sky" filings. Draft closing documents for securities offerings. Produce documents that require moderate revision by supervising lawyer. Rule-check draft SEC filings. Prepare responses to SEC comments on registration statements. Periodic filings under the 1934 Exchange Act. Support Shareholder meetings and proxy solicitations. Support Registered public offerings, Private placements, and Corporate governance for clients under the direction of more senior attorneys.
Need J.D from accredited law school in the United States with top performance as evidenced by participation on law review or similar honors. Need admission to practice law in at least one state where Thompson Hine has an office. Need 6 mos. experience as a law clerk or attorney with an AmLaw 200 firm conducting legal research and drafting legal documents for a corporate practice including M&A, Investment Management, Venture Capital and Securities and Supporting a diverse corporate practice group providing legal guidance to publicly traded companies, private equity portfolio companies and privately owned companies. 6 mos. experience in '33 and '34 Act law, including drafting and revising proxy statements, prospectuses, disclosures, closing documents and other SEC forms and filings, and exempt offerings.
