Reference #: R3041 Morgan, Lewis & Bockius LLP, one of the world's leading global law firms with offices in strategic hubs of commerce, law, and government across North America, Asia, Europe, and the Middle East, is seeking to hire a Manager of Investment Company Services. Reporting to the Director of Investment Company Services, the Firm's Manager of Investment Company Services works under minimal supervision and performs a variety of legal, administrative, and managerial duties in support of the Firm's Investment Management practice, including the training, mentoring and supervision of paralegals, analysts and support staff within the practice group. In addition, she/he takes initiative and demonstrates leadership skills when working with both internal and external client teams, assuming a coordination and/or project management role, and facilitates communication with other Firm departments and practice groups, as necessary.

This position will reside in the Philadelphia office with a hybrid in-office/remote working schedule.

Responsibilities:

Practice Group Subject-Matter Specific Responsibilities

With and under the supervision of the Director of Investment Company Services:

Trains and mentors paralegals in the practices of securities regulation including the Investment Company Act of 1940, Securities Act of 1933 and Investment Advisers Act of 1940.

Serves as a first source for paralegal and attorney inquiries, including issues regarding mutual fund filings.

Prepares and reviews prospectuses, summary prospectuses, statements of additional information, Part Cs and other mutual fund disclosure documents, including supplements to prospectuses and statements of additional information, and proxy materials.

Prepares and liaises with financial printers to timely and successfully file Investment Company Act of 1940 and Securities Act of 1933 registration statements with the U.S. Securities and Exchange Commission, including registration statements on Forms N-1A, N-2, N-4, N-6 and N-14.

Prepares agendas and materials for client board of trustees' meetings.

Prepares and helps to facilitate annual trustee and officer questionnaire process.

Prepares and helps to facilitate annual investment advisory agreement (15(c)) renewal process for clients.

Performs a variety of basic and complex paralegal work.

Researches federal and state securities laws.

Supervisory Responsibilities

The incumbent of this job directly supervises at least two non-supervisory employees. He/she carries out supervisory responsibilities in accordance with the Firm's policies, procedures, and applicable laws. With and under the supervision of the Director of Investment Company Services:

Interviews and assists with hiring paralegals to support attorneys in the Investment Management Practice Group (and sub-practice groups thereof).

Trains and mentors junior paralegals in the practices of securities regulation including the Investment Company Act of 1940, Securities Act of 1933 and Investment Advisers Act of 1940 and reviews the work of junior paralegals.

Supervises a team of paralegals, including assigning paralegals to client teams, monitoring paralegal workflow, utilization and billing levels and facilitating training and standard practices to support attorneys within the Investment Management Practice Group (and sub-practice groups thereof).

Monitors new and ongoing projects to ensure that projects are staffed accordingly, organized and project goals and deadlines are met.

Leads by example; establishes clear expectations; sets direction and priorities; ensures that work levels are balanced among all staff; resolves internal staff issues in a timely manner; keeps staff informed of all appropriate information; builds effective team; delegates at appropriate level.

Performs other duties as assigned.

Education and Experience:

Bachelor's degree from a four-year accredited college or university and minim m of 3 to 5 years of managerial/supervisory experience, preferably in a law firm or corporate law department.

Experience in the securities field, including experience in matters regarding registered funds.

Proficiency in the MS Office Suite (Word, Excel & PowerPoint).

Strong verbal and written communication skills. Ability to analyze complex, technical, professional, legal documents, government regulations, financial reports, respond effectively to sensitive inquiries or complaints from clients and regulatory agencies, and effectively present information on complex or controversial topics to senior management or clients.
