Fortive Corporation Senior Corporate Counsel in Remote, United States

The Senior Corporate Counsel will report directly to the General Counsel and help own and drive commercial contracting, sales execution and strategic partnerships, serve as a trusted advisor to the company’s sales team, and advise the General Counsel on legal matters related to ServiceChannel’s operations, sales and partner contracts, and sales and channel contracting processes. This person will also assist with vendor contracting, data privacy matters and legal research projects. Additionally, this person will assist with company-wide compliance, such as whistle blower complaints, ethics investigations, third party risk assessment review, trade compliance, and policy compliance. The Senior Corporate Counsel position is a remote position, but some travel will be required.

Key Responsibilities

  • Drafting, review and/or negotiation of new contracts, renewals, terminations and amendments for the various types of contracts referenced above.

  • Serve as a trusted advisor to various business units regarding contractual interpretation, rights, and dispute resolution.

  • Establishing template contract documents for the various types of engagements that ensure a consistent application of company standard practices and compliance, particularly in areas such as insurance, service level agreements and subcontractor utilization will be a priority

  • Working directly with sales and business teams, providing day-to-day advice, resolving issues that arise in existing commercial relationships, and handling inquiries.

  • Assist with ServiceChannel’s privacy compliance program, including developing policies, conducting risk assessments, developing and negotiating agreements involving the processing of personal data, participating in response to data privacy incidents and breaches.

  • Identify legal risks, develop mitigation strategies and counsel internal clients with respect to legal risks and mitigation strategies

  • Assist with the development of and administration of other company-wide legal programs such as compliance, risk management, policy management, third party risk assessment, and corporate governance.

  • Assist with the running of training programs to increase employee awareness and understanding of Company compliance programs.

  • Research and analyze various legal questions and advise the General Counsel regarding the same.

Qualifications

  • Juris Doctor from an accredited law school and a member in good standing of any U.S. state bar

  • 5-10 years of experience with drafting and negotiating commercial contracts.

  • Minimum of 5 years of experience with drafting and negotiating software and/or technology contracts

  • The ideal candidate will have extensive data licensing, software-as-a-service and professional services contracting experience. In-house experience is preferred, but not required.

  • Experience with data privacy matters, such as GDPR and CCPA, strongly preferred.

  • Possess strong written and oral communication skills

  • Must be team-oriented and have the ability to learn quickly and work in a fast-paced environment

  • Self-motivated with outstanding interpersonal skills and the ability to communicate complex concepts and issues effectively with all levels of management.

  • Ability to work independently while being able to contribute successfully to cross-functional teams.

  • Customer-oriented interpersonal skills, excellent business judgement and a proven ability to excel working with multiple clients.

This position is also eligible for bonus as part of the total compensation package.

The salary range for this position (inclusive of sales incentives/commission) is $164,500.00 - $305,500.00. Base pay offered may vary depending on various factors, including, but not limited to: job-related knowledge; skills; experience; and other eligibility factors such as geographic location.
