Location: San Jose, California

Salary Range: $95,000 to $105,000

Final determination of a successful candidate’s starting pay will vary based on a number of factors, including market location and may vary depending on job-related knowledge, skills, education and experience. The pay scale listed for this position is generally for candidates that meet the specified qualifications and requirements listed on this specific job description. THE LEGAL TEAM

The Legal and Risk Management team is responsible for all legal and legal-related matters such as litigation, contracts, compliance, and driving record policies. This is a diverse, complex, and often unpredictable portfolio of challenges.

ABOUT THE ROLE

The Contracts Manager will be responsible for the review, negotiation, and management of contracts and subcontracts for our corporate support, production and construction operation teams.

  • Proactive member of the Contracts Team who aids in the timely organization, review, distribution, and completion of contract documents for review by the interdisciplinary contract review/approval team.

  • Preparation, summation and compilation of contract documents and comments from the review team and preparation of proposed amendments, modifications or redlines to vendor contracts.

  • Review corporate contracts such as master services agreements, consulting agreements, non-disclosure agreements, intellectual property/software licensing, union/labor and other commercial agreements.

  • Respond to governmental agency requests for documents and subpoenas by gathering documents from internal teams, preparing them for review by counsel and submitting them on a timely basis.

  • Track and maintain company contracts.

  • Prepare and evaluate commercial terms and conditions with vendors, suppliers and subcontractors while consulting with attorney and other key stakeholders.

  • Partner with internal stakeholders to confirm completeness and accuracy of proposed contracts, identifying and mitigating risks through contract provisions.

  • Deliver excellent customer service to internal and external clients.

  • Other duties as may be assigned from time to time.

Knowledge: A seasoned, experienced professional with a full knowledge of area of specialization; resolves a wide range of issues in astute ways. This job is the fully qualified, career-oriented, journey-level position.

Complexity: Works on problems of diverse scope where review of data requires evaluation of identifiable factors. Demonstrates good judgment in selecting methods and techniques for obtaining solutions. Networks with senior internal and external people in own area of expertise.

Supervision: Receives little instruction on day-to-day work, general instructions on new assignments.

  • Ability to work with multiple stakeholders to create optimal approaches and solutions.

  • Excellent verbal and written skills.

  • Proficient with MS Word, MS Excel, and Adobe Acrobat.

MINIMUM QUALIFICATIONS

Any combination of education and experience that would likely provide the required knowledge, skills and abilities as well as possession of any required licenses or certifications is qualifying.

Education: Bachelor’s degree.

Licensure/Certifications: N/A

Experience: Five (5) years of directly related experience in contracts management, working in-house within a corporate legal department or in a law firm setting. Construction experience, preferred.
